- Draft, manage, review, and update corporate governance policies, procedures, and guidelines that adhere to global best practices and relevant laws and regulations.
- Establish and manage a centralised repository for all corporate governance documents, including charters, terms of reference, policies, procedures, and protocols.
- Review policies drafted by other departments or external consultants to ensure accuracy, completeness, and compliance with governance requirements. Coordinate with stakeholders to obtain necessary approvals and oversee effective policy implementation.
- Interact with regulatory authorities, legal advisors, and industry associations to stay updated on regulatory changes, emerging best practices, and industry trends.
- Identify opportunities to enhance governance processes, streamline workflows, and strengthen control mechanisms. Implement initiatives aimed at driving efficiency and effectiveness in governance-related activities, striving for best-in-class governance practices.
- Provide governance expertise and conduct due diligence during mergers, acquisitions, or other significant corporate transactions. Assess governance risks, facilitate integration efforts, and ensure compliance with legal and regulatory requirements to protect company's interests.
- Collaborate with the communications team to develop internal and external communications related to governance matters. Ensure accurate and consistent messaging that promotes transparency, accountability, and awareness of governance principles and initiatives.
- Monitor and assess emerging governance (the "G" in "ESG") trends and practices. Identify opportunities to integrate ESG considerations into company's governance framework and collaborate with relevant stakeholders to develop and implement ESG-related initiatives.
- Keep abreast of changes in governance laws, regulations, and industry standards, particularly within the Kingdom of Saudi Arabia. Conduct in-depth legal research to interpret and understand the implications of new regulations. Provide recommendations and guidance to senior management on compliance matters to ensure adherence to governance requirements.
- Assist in developing training programs and other communications related to corporate governance, policies, and procedures. Enhance understanding and compliance across the company by educating employees on governance principles and practices.
- 12+ years of relevant experience in corporate governance, with roles of increasing seniority. Previous experience establishing and implementing sound governance frameworks, policy drafting, compliance management, and familiarity with Saudi Arabian governance laws is a must.
- Ability to think critically, write effectively, analyse complex issues, and provide well-reasoned recommendations. Strong attention to detail and the ability to spot potential compliance risks or gaps in policies.
- Demonstrated senior-level project management skills, including the ability to handle multiple projects simultaneously, set priorities, and meet deadlines. Excellent organisational and problem-solving skills are essential.
- Excellent written and verbal communication skills, with the ability to draft clear and concise policies, reports, and presentations. Strong interpersonal skills to collaborate effectively with stakeholders at all levels of the organisation.
- High ethical standards, integrity, and professionalism when dealing with confidential and sensitive information. Ability to exercise discretion and maintain strict confidentiality.
